1.
Provision of Accommodation and the Licence Fee/Co-Working Fee/Membership Fee
- The fee includes business rates, utilities, insurance of the premises (excluding client contents), electricity, heating, lighting, cleaning, and service charges for maintenance.
- The fee will increase annually by no less than 5%.
2.
Client’s Rights and Responsibilities
- Pay fees in advance on the first day of each month by standing order.
- Maintain premises, fixtures, and fittings in good repair.
- Not obstruct common parts of the building.
- Comply with laws, regulations, and building rules.
- Not make alterations or additions.
- Not invalidate insurance by hazardous activities.
- Comply with fire and safety requirements.
- Follow operator’s building regulations and not cause nuisance or disturbance.
- Use premises only as an office.
- Not solicit operator’s staff during or within six months after agreement.
- Indemnify the operator against claims or damages from use.
- Pay VAT on all fees.
- Late payments incur a 5% late charge on overdue balances.
- No signage, posters, or advertisements allowed.
- Not sublet, assign, or share premises without consent.
- Prevent damage, including water leaks.
- Permit operator reasonable access for inspection or emergencies.
- Vacate premises at termination, remove possessions, and leave clean (wear & tear charge of £100 + VAT per desk applies).
3.
Operator’s Rights and Responsibilities
- Maintain common parts, lighting, and reception during Mon–Fri, 9:00–17:00 (excluding public holidays).
- Provide services as outlined in the Welcome Pack, subject to availability.
4.
Supply of Additional Services
- Client must pay for any additional services.
- Operator may alter or discontinue services at discretion.
- Operator not liable for losses from service interruption beyond reasonable control.
5.
Termination
- Operator may terminate immediately if the client becomes insolvent or breaches obligations.
- Client may terminate with two months’ written notice.
- Operator may terminate with two months’ written notice.
5.
General
- Deposit retained as security and refunded within 60 days after premises are vacated.
- Notices must be in writing.
- Agreement governed by laws of England & Wales.
- Confidentiality applies to agreement terms even after termination.
- Agreement supersedes prior arrangements.
